Agreement to These Terms

These Terms of Service apply to your use of Studio Flow & Systems websites, resources, booking systems and services.

By using our website, submitting information, booking a service, purchasing a service or otherwise entering into an agreement with us, you agree to any terms that apply to that interaction.

Where we provide you with a separate proposal, scope of work, service agreement, invoice or other written agreement, that document may contain additional or more specific terms.

If there is an inconsistency between these general website Terms and a specific written service agreement entered into between you and Studio Flow & Systems, the specific agreement will apply to the extent of that inconsistency.

Our Services

Studio Flow & Systems provides digital infrastructure and business systems services.

Depending on your engagement, services may include:

• Website and landing page development.
• CRM configuration and implementation.
• Lead management and sales pipelines.
• Workflow and business automation.
• Booking and appointment systems.
• Payment and checkout integrations.
• Customer journey design.
• Email and SMS automation.
• Artificial intelligence systems and integrations.
• Funnel development.
• Business systems strategy and audits.
• Training, implementation support and consulting.
• Other digital or strategic services agreed between us.

The exact services included in a paid engagement will be determined by the relevant proposal, scope, invoice, service agreement or other written confirmation.

Consultations & Business Systems Audits

Studio Flow & Systems may offer free or paid consultations, discovery calls, strategy sessions and business systems audits.

A free consultation is intended as an initial conversation to understand your business, identify potential systems requirements and determine whether further work together may be appropriate.

A paid Business Systems Audit is a deeper diagnostic service and may include analysis, recommendations, strategic direction and identification of systems or implementation priorities.

Proposals, Scope & Engagements

Larger implementation projects will generally be governed by a proposal, quotation, scope of work, service agreement or similar written document.

That documentation may specify:

• Project deliverables.
• Project phases.
• Pricing and payment arrangements.
• Estimated timelines.
• Client responsibilities.
• Included revisions or support.
• Technology or platform requirements.
• Any exclusions from scope.

Work outside the agreed scope may require a revised quote, change request or separate engagement before that additional work is undertaken.

Fees & Payments

Prices for paid services will be displayed at the point of purchase or confirmed in the relevant proposal, quotation, invoice, booking page or service agreement.

Unless otherwise stated, amounts are expressed in Australian dollars.

Where a deposit, upfront payment or instalment is required, work may not commence until the required payment has been received.

Where an instalment arrangement applies, you agree to make payments according to the schedule agreed for that engagement.

Third-party platform, subscription, domain, advertising, communication, payment processing or software costs are not included unless expressly stated in writing.

Your Responsibilities

Successful implementation often depends on timely cooperation between Studio Flow & Systems and the client.

You may be responsible for providing:

• Accurate business information.
• Required website copy, images, branding or other content.
• Appropriate access to platforms, domains, software and accounts.
• Timely feedback and approvals.
• Product, pricing and service information.
• Any policies, disclaimers or industry information specific to your business.
• Any licences, permissions or rights needed for material supplied to us.

You are responsible for ensuring that information and materials you provide to us are accurate and that you have the right to use and provide them.

Timelines & Project Delivery

Project timelines may be estimated based on the information and scope available when the engagement begins.

Delivery dates may be affected by factors including client feedback, approvals, availability of required content, third-party systems, technical issues, scope changes and other dependencies outside our reasonable control.

Where you delay providing required information, access, approvals or materials, project timelines may need to be adjusted.

We will communicate material changes to project timing where reasonably practicable.

Scope Changes & Additional Work

Business projects often evolve during implementation.

Where you request work that is materially outside the agreed scope, Studio Flow & Systems may provide a revised quote or request approval for additional fees before proceeding.

We will not treat substantial additional work as automatically included merely because it relates to the original project.

Minor adjustments may be included where expressly provided for in your particular service agreement or scope.

Third-Party Platforms & Technology

Our work may integrate or depend on third-party services such as CRM platforms, website hosting, domain providers, payment processors, email services, SMS providers, artificial intelligence tools, social media platforms, analytics tools and other software.

These third parties operate independently and may change their functionality, pricing, policies, APIs, availability or technical requirements.

Studio Flow & Systems does not control third-party platforms and cannot guarantee their continuous availability or future functionality.

Where a third-party change affects your systems after implementation, additional work required to adapt or rebuild an integration may fall outside the original scope unless otherwise agreed.

Intellectual Property

You retain ownership of intellectual property and materials that you provide to Studio Flow & Systems, subject to any third-party rights that apply to those materials.

Unless otherwise agreed in writing, upon full payment of the relevant project fees, you may use final client-specific deliverables created for your business for their intended business purpose.

Studio Flow & Systems retains ownership of its pre-existing intellectual property, methodologies, frameworks, know-how, processes, reusable systems, templates, concepts and general technical knowledge.

Third-party software, fonts, stock assets, plugins, platforms and similar materials remain subject to the licence terms of their respective owners.

Business Results

Studio Flow & Systems builds and advises on infrastructure designed to improve business operations, customer journeys, automation, visibility and efficiency.

However, business outcomes depend on many factors outside our control.

These may include:

• Your offer and pricing.
• Market demand.
• Sales activity.
• Advertising performance.
• Lead quality.
• Client implementation and use of the systems.
• Business operations and service delivery.
• External market conditions.

Cancellations, Rescheduling & Refunds

Cancellation, rescheduling and refund arrangements may vary depending on the service purchased and may be set out in the relevant booking page, proposal or service agreement.

Where project work has already commenced, amounts payable or refundable may take into account work already completed, resources committed and any rights that apply under Australian law.

If you need to reschedule an appointment, we ask that you provide as much notice as reasonably possible.

Nothing in these Terms is intended to exclude, restrict or modify any right or remedy that cannot lawfully be excluded under applicable Australian law.

Australian Consumer Law

Certain services supplied by Studio Flow & Systems may be subject to statutory rights and consumer guarantees under the Australian Consumer Law.

Where those rights apply, nothing in these Terms excludes, restricts or modifies them where doing so would be unlawful.

This includes any rights relating to the quality, fitness for purpose or delivery of services that cannot lawfully be excluded.

Liability

To the extent permitted by law, Studio Flow & Systems is not responsible for loss or damage caused solely by matters outside our reasonable control, including third-party platform failures, unauthorised changes made by others, inaccurate client-supplied information or client failure to follow required implementation instructions.

You remain responsible for business decisions made using information, recommendations, systems or strategies provided through our services.

Nothing in this section is intended to exclude, restrict or modify liability where doing so would be prohibited by law.

Website & Resource Use

Content made available through Studio Flow & Systems websites and free resources is provided for general informational and business education purposes.

You may use resources we intentionally provide to you for your own internal business use, subject to any specific licence or conditions stated with that resource.

You must not reproduce, resell, republish or commercially distribute our proprietary materials as your own without permission.

You must not intentionally interfere with, damage, misuse or attempt unauthorised access to our websites, systems or digital infrastructure.

Privacy

Personal information collected through our website, forms, bookings and services is handled in accordance with our Privacy Policy.

Changes to These Terms
